The Dealmaking Playbooks of Harvey and Legora

Acquisitions often reveal more about a company’s future than product releases. Over the past year, Harvey and Legora have pursued a series of acquisitions, acqui-hires and partnerships. These deals viewed individually appear incremental but when they are viewed collectively, they reveal much deeper insight into the corporate development playbooks of two of the most prominent Legal AI companies.  


While Harvey and Legora are both expanding beyond their core products, their approach suggests different corporate development philosophies. Every acquisition, acqui-hire, and partnership reflects a bet on the future. By studying their corporate development playbooks today, we can gain insight into how the market will evolve tomorrow.



Legora’s Playbook: Expanding through Workflow Acquisition


Legora has made four acquisitions so far consisting of Walter AI, Qura, Graceview and Cadastral.

  • Walter AI was acquired for its ability to utilize a single AI Agent to execute end-to-end legal workflows across research, client replies and blacklining

  • Qura was acquired because of building structured AI-native legal research databases that go beyond traditional Retrieval-Augmented Generation (RAG) enabling precise research

  • Graceview was acquired for its ability to provide legal and compliance teams with regulatory intelligence allowing such teams to monitor changes across 100+ jurisdictions and tens of thousands of official regulatory sources

  • Cadastral was acquired because of its agentic platform designed specifically for workflow, deal types and document structures in commercial real estate


Legora is not acquiring adjacent technologies at random. These acquisitions occupy different points across legal workflows, including research, regulatory intelligence, blacklining. Furthermore, Legora is going a step deeper to build specialized capabilities across the lawyer value chain with its recent acquisition of Cadastral.


These acquisitions suggest a two-phase expansion strategy across workflows. The company expanded horizontally across workflows such as research and regulatory intelligence. If Cadastral is indicative of a broader strategy, future acquisitions could extend into other document-intensive practice areas such as M&A, tax, or intellectual property. With the acquisition of Cadastral, Legora is entering its second phase of expansion focused on building vertical capabilities across specific legal domains.


Legora’s playbook appears to be building a unified product ecosystem or the OS for lawyers allowing them to perform their tasks in a single platform.


Harvey’s Playbook: Building through Talent and Ecosystem Participation


Harvey has acquired three companies so far consisting of Mirage (ML), Hexus and Lume AI.

  • Mirage (ML) was acquired for its talent and the team’s ability to develop and ship ML products

  • Hexus was acquired because of its team’s strong understanding of enterprise-centric products and customer-oriented mindset in the context of in-house counsels coupled with Harvey’s broader expansion plans of hiring engineers at San Francisco (SF), New York, Toronto and Bangalore

  • Lume AI was acquired because of its team and as part of Harvey’s expansion to customer bases across the globe

  • Harvey has entered into a partnership as well with the LegalTech Fund to make investments together in LegalTech startups.


Unlike Legora’s acquisitions, Harvey’s transactions tell a different story. Harvey's acquisitions are not primarily aimed at expanding into new legal workflows. Instead, they are largely acqui-hires designed to strengthen the company's engineering and product capabilities.


Rather than expanding through workflow acquisitions, Harvey appears to be adopting a platform-and-venture strategy. The emphasis is less on acquiring adjacent products and more on acquiring talent and maintaining strategic optionality to acquire emerging technology by developing visibility into future startups. This strategy resembles the early stages of Salesforce’s ecosystem approach in which investments provided visibility into emerging innovation and talent.


Harvey’s playbook is focused on building internal engineering capabilities through these acquisitions while simultaneously focusing on ecosystem participation to have access to founders building startups in the LegalTech space.

Harvey and Legora have entered into partnerships with established Indian legal research providers such as SCC and Manupatra to integrate jurisdiction-specific case law. These partnerships highlight a different aspect of corporate development. Partnerships with existing databases that possess extensive case law represent a faster route to expansion than building capabilities from scratch. Partnerships seem to be a point of convergence for both Harvey and Legora in their expansion strategy.


These playbooks are important because they signal how two of Legal AI’s most prominent companies are thinking about scale and expansion. Legora is essentially betting on building a one-stop platform for a lawyer’s workflows through its acquisitions. On the other hand, Harvey is placing a bet on talent and technical expertise as a valuable asset for expansion coupled with ecosystem participation to expand its offering and build scale.


In conclusion, Harvey and Legora are taking two distinct approaches to scale. Neither strategy is inherently superior. However, these playbooks offer a glimpse into how two of Legal AI’s prominent companies are thinking about expansion and in turn how they believe the market itself will evolve.
